What we do, and how we do it.

Five practice areas, one philosophy. Senior attention, careful judgment, and the long view. Below, the work in detail.

001

Tax Preparation
and Planning

Compliance is the floor, not the ceiling. We prepare federal and multi-state returns for individuals, partnerships, S-corps, C-corps, and tax-exempt organizations. The value is in the planning that surrounds them. We work year-round with owners and high-income households to anticipate the next return, not just file the last one.

  • Individual returns (Form 1040), including multi-state and expatriate filings
  • Partnership and S-corp returns (Forms 1065, 1120-S) with K-1 reporting
  • C-corporation returns and consolidated groups (Form 1120)
  • Nonprofit returns (Form 990) and unrelated business income
  • Quarterly estimates, year-end planning, and projected liability modeling
  • IRS and state notice response, including LADOR correspondence
002

Audit
and Assurance

Whether the requirement comes from a lender, a state regulator, or a board, the underlying work is the same. A careful examination, well documented, that stands up to scrutiny. We bring the same rigor to every engagement, large or small.

  • Audits of corporations and nonprofits
  • Reviews and compilations under SSARS
  • Employee benefit plan audits
  • Cost certification audits for Louisiana Historic Tax Credit projects
  • Agreed-upon procedures engagements
  • Internal control consulting

Estates
and Trusts

Trust and estate work demands precision. Distribution timing, character of income, and the interaction of state and federal rules all carry consequences that compound over time. We coordinate closely with estate counsel, executors, and trustees through the life of the trust, from the first 1041 through final termination.

  • Form 1041 fiduciary income tax returns for trusts and estates
  • Grantor trust reporting and beneficiary K-1 preparation
  • Distribution planning under §643 and the 65-day rule election
  • DNI calculations and capital gains inclusion analysis
  • Estate (Form 706) and gift (Form 709) returns
  • Coordination with attorneys on funding, distributions, and termination

Louisiana Historic
Tax Credits

Louisiana's Historic Rehabilitation Tax Credit, paired with the Federal §47 credit, is one of the most powerful incentives available for restoring qualifying properties. It is also one of the easiest to mishandle. We work alongside developers, owners, and their attorneys and architects from feasibility through final certification, with particular care for the structural and timing rules that decide whether the credit lands.

  • Pre-acquisition feasibility and credit structuring
  • Entity design and ownership structure consistent with SHPO requirements
  • Qualified Rehabilitation Expenditure (QRE) sourcing and documentation
  • Part 1, Part 2, and Part 3 application coordination with SHPO
  • Cost certification audits submitted to the Louisiana Department of Revenue
  • Federal §47 credit and Louisiana state credit integration
  • Placed-in-service timing and post-completion compliance

Business
Advisory

The decisions a business owner makes once, such as how to structure the entity, how to compensate themselves, when to elect, quietly compound for years. We advise on the choices that matter, with the technical depth to see around the corner.

  • Entity selection and conversion (LLC, S-corp, C-corp, partnership)
  • Reasonable compensation and owner distribution planning
  • Pass-through entity (PTE) elections and SALT cap planning
  • Multi-state nexus, apportionment, and registration
  • Buy-sell agreement tax review and exit planning
  • Mergers, acquisitions, and reorganizations
